Terms of Service

These Terms of Service ("Terms") govern your use of the ExtendStack platform and its associated tools, integrations, and services ("Services") operated by Impulse Creative Inc. ("Provider," "we," "our," or "us"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

By connecting your HubSpot portal, creating an account, making a purchase, or using any ExtendStack tool, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

ExtendStack provides HubSpot integration tools and utilities including but not limited to:

• Tella Video Engagement — Syncs video data from Tella into HubSpot CRM and tracks viewing engagement on contact records.
• Bulk SEO Editor — A web-based tool for viewing and editing title tags and meta descriptions across HubSpot CMS pages, with AI-powered recommendations.

We reserve the right to add, modify, suspend, or discontinue any feature, tool, or the Services in whole or in part, at any time and without prior notice.

3. HubSpot Authorization

Our Services require you to authorize access to your HubSpot portal via OAuth. By authorizing, you grant ExtendStack permission to:

• Read and write data within the scopes you authorize (e.g., CRM contacts, CMS pages, content).
• Store encrypted OAuth tokens to maintain your connection.
• Make API calls to HubSpot on your behalf to deliver the Services.

You may revoke access at any time through HubSpot's Connected Apps settings. Revoking access will immediately disable ExtendStack's ability to interact with your portal. Revocation of access does not entitle you to a refund of any fees paid.

4. User Responsibilities

You agree to:

• Provide accurate and current information when connecting your portal.
• Use the Services only for lawful purposes and in compliance with HubSpot's Terms of Service and all applicable laws and regulations.
• Not attempt to reverse-engineer, decompile, disassemble, or exploit our Services or infrastructure.
• Not use the Services to transmit malicious content, interfere with other users, or compromise the security of any system.
• Maintain the confidentiality of any API keys, credentials, or access tokens you provide to or receive from ExtendStack.
• Be solely responsible for all activity that occurs through your connected portal.

5. AI-Powered Features

Certain Services include AI-powered features that generate content recommendations using third-party AI models. You acknowledge and agree that:

• AI recommendations are suggestions only and should be reviewed by a qualified person before acceptance or publication.
• We do not guarantee the accuracy, completeness, SEO effectiveness, or legal compliance of AI-generated content.
• You are solely responsible for any changes made to your HubSpot pages, whether entered manually or by accepting AI-generated suggestions.
• Page content may be temporarily transmitted to third-party AI services for processing as described in our Privacy Policy.
• AI-generated content may not be unique and similar recommendations may be provided to other users.

6. Pricing, Payment, and Refund Policy

Some features of ExtendStack are available at no cost, subject to usage limits. Premium features or expanded usage may require payment.

• Pricing details are displayed within the relevant tool prior to purchase.
• Payments are processed through HubSpot Payments or other designated payment processors.
• All payments and fees are non-refundable. Once a payment is made, it will not be returned regardless of whether you continue to use the Services.
• We reserve the right to change pricing at any time. Users who have already purchased a feature at a given price will retain access at that price.
• If your payment method fails, we may suspend access to premium features until payment is resolved.

7. Intellectual Property

All ideas, concepts, code, design, branding, documentation, and other materials developed by or on behalf of Impulse Creative in connection with ExtendStack shall remain the sole and exclusive property of Impulse Creative.

You may not copy, modify, distribute, sell, lease, or create derivative works from our Services, code, or branding without prior written permission from Impulse Creative.

Content you create, edit, or modify through our tools (e.g., page titles, meta descriptions) remains your property or the property of the respective rights holder.

8. Confidentiality

Each party agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the other party in connection with the Services. This includes, but is not limited to, API keys, authentication tokens, business data, and technical specifications. This obligation survives termination of these Terms.

9. Data and Privacy

Your use of ExtendStack is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in the Privacy Policy.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free.
• The results obtained from the Services (including AI recommendations) will be accurate or reliable.
• Any third-party services integrated with ExtendStack (HubSpot, Tella, Google Gemini, Firecrawl) will function without disruption.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IMPULSE CREATIVE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

We are not responsible for any changes to your HubSpot data, search engine rankings, website performance, or business outcomes resulting from your use of our tools.

12. Indemnification

You agree to indemnify, defend, and hold harmless Impulse Creative and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you create or modify using the Services.

13. Third-Party Services

ExtendStack integrates with third-party services including HubSpot, Tella, Google Gemini, and Firecrawl. Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, content, or conduct of third-party services, and we make no warranties regarding their performance.

14. Termination

You may stop using ExtendStack at any time by disconnecting your HubSpot portal and clearing your session.

We may suspend or terminate your access to the Services, in whole or in part, at our sole discretion, if: (a) you violate these Terms; (b) your use poses a security risk; (c) we are required to do so by law; or (d) we discontinue the Services.

Upon termination, we will delete your stored tokens and configuration data upon written request to support@impulsecreative.com. Termination does not entitle you to a refund of any fees paid.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Hendry County, Florida, and you consent to the personal jurisdiction of such courts.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last updated" date at the top of this page. Your continued use of the Services after any such changes constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Impulse Creative regarding the use of ExtendStack and supersede all prior agreements, understandings, and communications, whether written or oral.
